Terms of Service

These Terms of Service ("Terms") govern your use of Opract Arc, a product of Opract ("we", "us", "our"). By subscribing to or using Opract Arc, you agree to these Terms.

1. Service Description

Opract Arc provides technology services to educational institutions on a subscription basis. The specific features and scope of your service are determined at the time of subscription. We set up, manage, and maintain the service on behalf of the institution.

2. Subscription and Payment

• Subscriptions are billed according to the plan selected (monthly or multi-month).
• Payment is due at the beginning of each billing period.
• We will provide at least 30 days' notice before any price changes take effect for existing subscribers.
• All payments are non-refundable except as described in our Refund Policy.

3. Your Responsibilities

As an institution partner, you agree to:

• Provide accurate and up-to-date content and information as needed
• Respond to update requests and approvals in a timely manner
• Ensure content you provide does not infringe on third-party intellectual property rights
• Not use the service for any unlawful purpose
• Keep your contact information current so we can reach you for updates and billing

4. Our Responsibilities

We agree to:

• Set up and deliver the service as agreed
• Manage the technical infrastructure on your behalf
• Process updates within a reasonable timeframe upon request
• Maintain data protection systems and monitor service availability
• Provide priority support

5. Content and Intellectual Property

Content, images, and information you provide remain your property. You grant us a license to use this content solely for the purpose of providing the service.

The Opract Arc platform, its design, code, and branding are the intellectual property of Opract. The service is provided on a subscription basis — it remains on our infrastructure and is managed by us for the duration of the subscription.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with advance notice. We are not liable for disruptions caused by factors outside our control, including internet connectivity or third-party service outages.

7. Cancellation

• You may cancel your subscription at any time by contacting us at hello@opract.com.
• Upon cancellation, your service will remain active until the end of the current billing period.
• After the billing period ends, the service will be deactivated.
• We will retain your data for 30 days after deactivation, during which you may request a copy.

8. Limitation of Liability

We are not responsible for:

• The accuracy of content provided by the institution
• Business decisions made based on service analytics
• Third-party services or integrations
• Loss of revenue due to service disruptions beyond our control

Our total liability shall not exceed the amount paid by the institution in the three months preceding the claim.

9. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers of significant changes via email or WhatsApp. Continued use of the service after changes constitutes acceptance of the updated Terms.
